Anthropic filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission on October 26, moving its long-anticipated public offering into the formal review process. The company plans to list Class A common stock on the Nasdaq Global Select Market under the ticker ANT.
A filed proposal, not a completed financing
Anthropic says the number of shares and price range have not yet been determined. The registration statement is not yet effective, shares have not been sold, and the amount the company may raise cannot be treated as settled funding.
Goldman Sachs and Morgan Stanley are identified as prospectus contacts. The SEC filing index records the S-1 as accepted on October 26 and lists the registration statement and its exhibits, independently confirming that the public filing exists.
Public markets would add capital and scrutiny
Going public would give investors direct exposure to one of the largest independent foundation-model developers while subjecting Anthropic’s growth, losses, compute commitments, governance and safety risks to recurring disclosure. The filing also highlights a tension central to the AI sector: rapidly expanding revenue and model demand coexist with exceptionally high infrastructure and training costs.
The proposed listing is consequential even before pricing because it tests whether public markets will fund frontier-model development at private-market scale. But estimates of valuation or proceeds remain speculative until Anthropic sets terms and the offering becomes effective.
