Dassault Systèmes has completed its acquisition of ArisGlobal, moving the transaction from an announced agreement to a closed deal. ArisGlobal develops cloud software for pharmacovigilance, regulatory affairs, clinical operations and medical information.

The consideration is $1.8 billion in cash at closing plus up to $200 million tied to future performance. That contingent amount is not the same as cash already paid, so the completed transaction’s certain upfront value remains $1.8 billion.

Dassault says ArisGlobal’s LifeSphere platform uses automation and artificial intelligence to help life-sciences companies manage safety cases, regulatory submissions and clinical workflows. The buyer plans to combine those capabilities with its 3DEXPERIENCE and MEDIDATA businesses.

The strategic logic is less about buying a general-purpose model developer than about embedding AI into regulated operational systems. Drug-safety and regulatory workflows require traceability, domain data and validated processes, giving vertical software assets a different defensibility profile from consumer AI products.

The companies’ integration and financial-synergy claims remain forward-looking. Neither announcement establishes how quickly customers will adopt combined products or whether the full contingent payment will become due.
